1.1 Board of Directors (BoD)
- Composition: Composed of one designated executive officer from each Founding Member organization and elected representatives from Principal Members (1 seat per 5 Principal Members).
- Responsibilities:
- Ratification of candidate specifications into official MPM Consortium Standards.
- Approval of annual operating budgets, legal frameworks, and committee charters.
- Action on compliance violations and revocation of certification seals.
1.2 Technical Steering Committee (TSC)
- Composition: Led by an elected TSC Chair and Vice-Chair, alongside the designated Chairs of each active Technical Working Group (TWG).
- Responsibilities:
- System-wide architectural oversight to prevent technical divergence across working groups.
- Advancement of draft specifications from TWGs to Candidate Recommendation status.
- Maintenance of the central repository for standardized CAD geometries, spline tolerances, and fluid connection schematics.
1.3 Technical Working Groups (TWGs)
Working groups are domain-specific bodies responsible for drafting engineering specifications, performance baselines, and safety guidelines.
- TWG-1: Mechanical Interfaces, Splines & Harmonics
- Scope: Drive spline tolerances ($77\text{ kW}$ to $1\text{ MW}$ class), dynamic balance thresholds, torsional resonance dampening, container chassis lock points, and 3-high physical stacking mechanics.
- TWG-2: Thermal Management, Fluid & Auxiliary Loops
- Scope: Pressurized lubrication loops, brine/seawater cooling interfaces, heat dissipation standards under $100\%$ continuous duty cycle, and quick-disconnect fluid couplings.
- TWG-3: Single-Use & Off-Grid Industrial Integration
- Scope: Direct mechanical coupling standards for high-value off-grid applications, specifically megawatt-scale water electrolyzers ($7.2\text{ GWh/month}$ nominal per $10\text{ MW}$ array), high-pressure Reverse Osmosis (RO) pumps, atmospheric Direct Air Capture (DAC) fans, and high-speed mechanical freight drive systems.
- TWG-4: Electrical Interconnection, Safety & Regulatory
- Scope: Synchronous generator matching, grid protection relaying, multi-input emergency shutdown protocols, operator isolation zones, and international safety compliance (UL, CE, ISO, IEEE).
1.4 Compliance & Certification Board (CCB)
An independent operational arm of the Consortium tasked with enforcing standards:
- Operates accredited test benches for certifying physical MPM hardware and Multi-MPM Aggregator Adapters.
- Grants the Consortium Interoperability Seal.
- Conducts periodic audit testing on production hardware.
2. Decision-Making & Voting Framework
To prevent deadlock and protect minority stakeholders, decisions within Consortium bodies follow defined voting thresholds based on membership tier.
2.1 Voting Matrix
| Action Item | TWG Level | TSC Level | Board of Directors (BoD) |
| Draft Proposal Initiation | Simple Majority ($>50\%$) | N/A | N/A |
| Advance Draft to Candidate Spec | $2/3$ Supermajority | Simple Majority ($>50\%$) | N/A |
| Ratify Candidate to Final Standard | N/A | $2/3$ Supermajority | $2/3$ Supermajority |
| Charter / Governance Amendment | N/A | N/A | $3/4$ Supermajority |
| Revocation of Member Certification | N/A | Unanimous (excl. subject) | $2/3$ Supermajority |
2.2 Quorum Requirements
A formal quorum requires the participation of at least $60\%$ of voting-eligible members for any TWG, TSC, or BoD meeting where binding actions or votes are taken.
3. Standard Specification Lifecycle
The Consortium follows a four-stage process to transform engineering concepts into market-ready standards.
+------------------+ +------------------+ +------------------+ +------------------+
| Stage 1 | ---> | Stage 2 | ---> | Stage 3 | ---> | Stage 4 |
| Working Draft | | Candidate Spec | | Ratified Standard| | Maintenance |
+------------------+ +------------------+ +------------------+ +------------------+
(TWG Formulation) (60-Day Review & (BoD $2/3$ Vote & (Annual Review &
Bench Testing) Public Release) Field Audits)
- Stage 1: Working Draft (WD)Initiated within a specific TWG. Technical details are refined through collaborative review, simulation data, and physical prototype trials.
- Stage 2: Candidate Specification (CS)Upon achieving a $2/3$ vote in the TWG and simple majority approval in the TSC, the specification enters a 60-day review period. Physical test rigs validate compliance against reference adapters.
- Stage 3: Ratified Consortium Standard (RCS)Following resolution of all candidate-period technical objections, the BoD ratifies the spec via a $2/3$ supermajority. The standard is published with official CAD schemas and test criteria.
- Stage 4: Maintenance & Annual RevisionStandards undergo annual review by the respective TWG to integrate field telemetry, higher power-density allowances, and advanced wear-resistant material specifications.
4. Intellectual Property (IP) Boundary Policy
The Consortium uses a Dual-Layer Intellectual Property Framework to guarantee system interoperability without stripping manufacturers of proprietary competitive advantages.
+-----------------------------------------------------------------------+
| OPEN STANDARD LAYER (Consortium IP) |
| - Drive Spline Dimensions - ISO Container Lock Geometries |
| - Quick-Disconnect Fluid Ports - Safety & Harmonic Control Limits |
| --> Governed by Mandatory FRAND / Royalty-Free Core Licensing |
+-----------------------------------------------------------------------+
|
v
+-----------------------------------------------------------------------+
| PROPRIETARY IMPLEMENTATION LAYER (Member IP) |
| - Prime Mover Internal Mechanics - Internal Gearbox Tooth Profiles |
| - Generator Electromagnetic Design - Electrolyzer Internal Catalysts |
| --> 100% Retained Exclusive Property of Individual Manufacturer |
+-----------------------------------------------------------------------+
4.1 Mandatory Open Interface Licensing
Any patent essential to practicing the physical, mechanical, or electrical interface boundaries defined in an RCS must be licensed under Fair, Reasonable, and Non-Discriminatory (FRAND) terms, or Royalty-Free (RF) terms for standard-compliant products.
4.2 Protection of Implementation IP
Members retain $100\%$ proprietary ownership over internal motor/engine thermodynamic cycles, internal gearbox tooth grinding profiles, electromagnetic winding configurations, and chemical cell designs. The Consortium makes no claim on internal hardware implementation behind the standard interface spline or fluid flange.
5. Compliance, Auditing & Enforcement
To preserve market trust in the Consortium Interoperability Seal, all commercial hardware branded as “MPM-Compliant” must undergo formal verification.
- Certification Testing: Physical units must pass CCB-approved testing for spline wear tolerances, torsional dynamic balance, and $100\%$ continuous load thermal stability.
- Non-Compliance Notice: If field reports or CCB audits reveal non-compliance (e.g., destructive dynamic harmonics transmitted to an aggregator gearbox), the manufacturer is issued a 30-day cure notice.
- Seal Revocation: Failure to rectify non-compliance results in immediate suspension of the Consortium Certification Seal and temporary removal of voting privileges within TWGs.
6. Antitrust & Market Neutrality Compliance
The MPM Consortium enforces strict compliance with international trade and antitrust regulations:
- Prohibited Discussions: Members are strictly forbidden from discussing product pricing, market share division, customer allocation, or commercial sales terms during any Consortium-sanctioned meeting or working group session.
- Neutrality: Technical specifications shall be drafted purely on technical merit, industrial safety, environmental performance, and interoperability criteria.
7. Adoption & Operational Execution
This Governance Structure is officially executed alongside the MPM Consortium Charter and serves as the binding operational manual for all participating organizations, technical chairs, and governance officers.
